I don't what kind of companies you've been working for, but that's contrary to my experience (1967 - 2005).
Directors are generally also large stockholders, an ineffective executive is wasting their money.

Sure thing directors are always large shareholders, and unless they are original owners they get that stock in the form of options, warrants and or rights at a severely reduced price to excercise as a part of their compensation to be director which completely negates their risk of ownership and actually can insure profitibility of their excercised option warrant or right at a severe discount to the actual market value. Or, they receive their stock as part of their compensation and pay nothing for it.
